These Terms of Service (the "Agreement" or "Terms") explain the terms and conditions by which you may access and use the products and services provided by Tradersdex Inc.
A corporation organized under the laws of the Republic of Panama (Folio Number: 155772252) ("Tradersdex," "we," "our," or "us"). The Services shall include, but shall not necessarily be limited to, (a) a website-hosted user interface located at https://tradersdex.com (the "Site" or "Platform"), (b) our mobile applications, (c) our APIs, and (d) any other products and services that link to this Agreement (collectively, the "Services"). You must read this Agreement carefully as it governs your use of the Services. By accessing or using any of the Services, you signify that you have read, understand, and agree to be bound by this Agreement in its entirety. If you do not agree, you are not authorized to access or use any of our Services and should not use our Services.
NOTICE: This Agreement contains important information, including a binding arbitration provision and a class action waiver, both of which impact your rights as to how disputes are resolved. Our Services are only available to you — and you should only access any of our Services — if you agree completely with these terms.
1. Eligibility and Legal Requirements
1.1 Binding Agreement
By accessing the Site or Platform, or by using any Services, you confirm that you have read, understood, and accepted these Terms. If you do not accept them in full, do not use the Services.
1.2 Legal Capacity
To access or use any of our Services, you must be able to form a legally binding contract with us. Accordingly, you represent that you are at least the age of majority in your jurisdiction (e.g., 18 years old in most jurisdictions) and have the full right, power, and authority to enter into and comply with the terms and conditions of this Agreement on behalf of yourself and any company or legal entity for which you may access or use the Services. If you are entering into this Agreement on behalf of an entity, you represent to us that you have the legal authority to bind such entity.
1.3 Sanctions and Compliance
You further represent that you are not (a) the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties (including but not limited to lists maintained by the United Nations, European Union, United Kingdom, United States, or other relevant jurisdictions) or (b) a citizen, resident, or organized in a jurisdiction or territory that is the subject of comprehensive country-wide, territory-wide, or regional economic sanctions by major international bodies. Finally, you represent that your access and use of any of our Services will fully comply with all applicable laws and regulations in your jurisdiction, and that you will not access or use any of our Services to conduct, promote, or otherwise facilitate any illegal activity.
1.4 Risk Warning
Digital assets are volatile, and you may incur losses when buying, selling, or holding them. You are responsible for assessing whether trading or holding digital assets is suitable given your personal circumstances, risk tolerance, and financial resources. We are not your financial advisor or broker, and we provide no investment or advisory services. All decisions you make are at your own risk.
1.5 Eligibility Updates
We may update eligibility criteria at our discretion. Where possible, we will notify you in advance; but in cases of legal or regulatory changes or for urgent security reasons, we may update these Terms immediately and post the revised Terms on the Site.
2. Our Services
2.1 Platform Overview
The Platform provides a web or mobile-based means of access to decentralized protocols on various public blockchains, including but not limited to Solana, that allows users to trade certain compatible digital assets. The Platform is distinct from the underlying protocols and is one, but not the exclusive, means of accessing various decentralized finance protocols.
2.2 Protocol Relationship
We do not control or operate any version of the underlying protocols on any blockchain network. By using the Platform, you understand that you are not buying or selling digital assets from us and that we do not operate any liquidity pools on the protocols or control trade execution. When traders pay fees for trades, those fees may accrue to liquidity providers for the protocols. As a general matter, we are not a liquidity provider into protocol liquidity pools and liquidity providers are independent third parties.
2.3 Account Registration & Security
To access certain features, you must register and complete identity verification (KYC/AML). Provide accurate, up-to-date information. You are responsible for all activity under your account.
2.4 Wallet Connection
The Platform requires you to connect a compatible crypto wallet (e.g., MetaMask or Phantom) to execute on-chain transactions. You alone control your wallet's private keys. We do not store or manage your private keys and cannot help you recover them if lost.
2.5 Security Responsibilities
Keep usernames, passwords, 2FA, and wallet credentials confidential
Notify us immediately at business@tradersdex.com if you suspect unauthorized access
Monitor your transaction history and report suspicious activity without delay
2.6 Support Services
As part of our support experience, we may make available support services including chatbots powered by AI technologies ("Support Services") to assist with general questions, educational information, and navigation support related to the Services. You understand and acknowledge that automated support systems may generate responses that are inaccurate, incomplete, or outdated. Support Services do not provide legal, financial, investment, or tax advice and are provided for your convenience. You agree not to rely on any output from Support Services as a substitute for professional advice or your own independent judgment.
2.7 Third-Party Services and Content
Our Services may include integrations, links or other access to third-party services, sites, technology, APIs, content and resources (each a "Third-Party Service"). Your access and use of the Third-Party Services may also be subject to additional terms and conditions, privacy policies, or other agreements with such third party. You agree to comply with all terms, conditions, and policies applicable to any Third-Party Services integrated with or made available through the Services.
You, and not Tradersdex, will be responsible for any and all costs and charges associated with your use of any Third-Party Services. We enable these Third-Party Services merely as a convenience and the integration or inclusion of such Third-Party Services does not imply an endorsement or recommendation. Any dealings you have with third parties while using our Services are between you and the third party. We will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any Third-Party Services.
3. Platform Usage & Prohibited Conduct
3.1 Platform Discretion
We may modify, restrict, or discontinue any part of the Platform at any time, with or without notice, including: (a) with or without notice to you, to modify, substitute, eliminate or add to any of the Services; (b) to review, modify, filter, disable, delete and remove any and all content and information from any of the Services.
3.2 Prohibited Activities
You agree not to engage in, or attempt to engage in, any of the following categories of prohibited activity in relation to your access and use of the Services:
Intellectual Property Infringement. Activity that infringes on or violates any copyright, trademark, service mark, patent, right of publicity, right of privacy, or other proprietary or intellectual property rights under the law.
Cyberattack. Activity that seeks to interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or other information technology system, including, but not limited to, the deployment of viruses and denial of service attacks.
Fraud and Misrepresentation. Activity that seeks to defraud us or any other person or entity, including, but not limited to, providing any false, inaccurate, or misleading information in order to unlawfully obtain the property of another.
Market Manipulation. Activity that violates any applicable law, rule, or regulation concerning the integrity of trading markets, including, but not limited to, the manipulative tactics commonly known as "rug pulls," pumping and dumping, and wash trading.
Securities and Derivatives Violations. Activity that violates any applicable law, rule, or regulation concerning the trading of securities or derivatives in your jurisdiction.
Sale of Stolen Property. Buying, selling, or transferring of stolen items, fraudulently obtained items, items taken without authorization, and/or any other illegally obtained items.
Data Mining or Scraping. Activity that involves data mining, robots, scraping, or similar data gathering or extraction methods of content or information from any of our Services without express permission.
Objectionable Content. Activity that involves soliciting information from anyone under the age of 18 or that is otherwise harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful, discriminatory, or otherwise objectionable.
Any Other Unlawful Conduct. Activity that violates any applicable law, rule, or regulation of any relevant jurisdiction.
3.3 Suspension & Termination
We reserve the right to suspend or terminate your account (and/or block your wallet) at any time for reasons including (but not limited to):
Violation of these Terms or any applicable law
Suspected fraudulent activity or market manipulation
Incomplete or false information during KYC/AML
Regulatory or law enforcement requirement
Violation of prohibited conduct may result in immediate suspension or termination and forfeit of any associated balances.
4. Trading and Transactions
4.1 Trading Terms
You agree and understand that: (a) all trades you submit through any of our Services are considered unsolicited, which means that they are solely initiated by you; (b) you have not received any investment advice from us in connection with any trades; and (c) we do not conduct a suitability review of any trades you submit.
4.2 On-Chain Transactions
Transactions you initiate (swaps, liquidity provision, staking) are executed via smart contracts on public blockchains. Once confirmed on-chain, a transaction cannot be undone, except by initiating a separate on-chain reversal (if supported) or by the other party's cooperation. If your wallet lacks the necessary tokens (including gas), we may refuse to execute your transaction.
4.3 Market Events and Force Majeure
Network Event: Any third-party blockchain fork, reorganization, or 51% attack that affects transaction finality. Tradersdex is not responsible for losses resulting from Network Events.
Force Majeure: Events beyond our control (natural disasters, cyberattacks, regulatory orders) that prevent us from operating the Services. We will notify you as soon as practicable if a Force Majeure Event occurs.
4.4 Fees, Payments & Calculations
We charge trading fees on swap transactions as displayed on our Platform and during each transaction. Current fee structures and rates are available on our website and may include affiliate commissions for referred users. We reserve the right to update fees at any time by posting changes on the Site or Platform interface. By using the Platform, you authorize us to deduct applicable fees from your transaction amounts. All fee calculations performed by Tradersdex are final and binding in the absence of a manifest error.
Additional fees may include withdrawal fees and network/gas fees, which are displayed transparently during each transaction. Network fees are paid directly to blockchain validators and are not collected by Tradersdex.
4.5 Gas Fees
Blockchain transactions require the payment of transaction fees to the appropriate network ("Gas Fees"). You will be solely responsible to pay the Gas Fees for any transaction that you initiate via any of our Services.
4.6 Market Manipulation Prevention
We monitor for improper trading activity. In cases of manifest error or suspected manipulation, we reserve the right to cancel or void a transaction to the fullest extent possible under applicable law.
5. Non-Custodial Nature and Responsibilities
5.1 Non-Custodial and No Fiduciary Duties
Each of the Services is a purely non-custodial application, meaning we do not ever have custody, possession, or control of your digital assets at any time. You are solely responsible for the custody of the cryptographic private keys to the digital asset wallets you hold and you should never share your wallet credentials or seed phrase with anyone. We accept no responsibility for, or liability to you, in connection with your use of a wallet and make no representations or warranties regarding how any of our Services will operate with any specific wallet.
This Agreement is not intended to, and does not, create or impose any fiduciary duties on us. To the fullest extent permitted by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated.
5.2 Compliance and Tax Obligations
One or more of our Services may not be available or appropriate for use in your jurisdiction. By accessing or using any of our Services, you agree that you are solely and entirely responsible for compliance with all laws and regulations that may apply to you. Your use of our Services may result in various tax consequences, and it is your responsibility to determine whether taxes apply to any transactions you initiate and to report and/or remit the correct tax to the appropriate tax authority.
5.3 Release of Claims
You expressly agree that you assume all risks in connection with your access and use of any of our Services. You further expressly waive and release us from any and all liability, claims, causes of action, or damages arising from or in any way relating to your use of any of our Services.
6. Intellectual Property Rights
6.1 Our Intellectual Property
We own all intellectual property and other rights in each of our Services and their respective contents, including, but not limited to, software, text, images, trademarks, service marks, copyrights, patents, designs, and "look and feel." Subject to the terms of this Agreement, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use our Services solely in accordance with this Agreement. You agree that you will not use, modify, distribute, tamper with, reverse engineer, disassemble or decompile any of our Services for any purpose other than as expressly permitted pursuant to this Agreement.
6.2 User Content License
By using any of our Services, you grant us a worldwide, non-exclusive, sublicensable, royalty-free license to use, copy, modify, and display any content that you post on or through any of our Services for our current and future business purposes. You represent and warrant that you have all rights necessary to grant us this license and that such content does not violate any laws or third-party rights.
6.3 DMCA and Intellectual Property Complaints
We will process and investigate notices of alleged infringement and will take appropriate actions under applicable intellectual property laws. A notification of alleged copyright or trademark infringement should be submitted to business@tradersdex.com and must include:
The physical or electronic signature of the intellectual property owner or authorized agent
Identification of the work claimed to have been infringed
Identification of the infringing material and information sufficient to locate it
Contact information for the intellectual property owner or authorized agent
A statement of good faith belief that the use is not authorized
A statement that the information is accurate and the person is authorized to act on behalf of the owner
7. Disclaimers and Assumption of Risk
7.1 General Risk Assumptions
BY ACCESSING AND USING ANY OF OUR SERVICES, YOU REPRESENT THAT YOU ARE FINANCIALLY AND TECHNICALLY SOPHISTICATED ENOUGH TO UNDERSTAND THE INHERENT RISKS ASSOCIATED WITH USING CRYPTOGRAPHIC AND BLOCKCHAIN-BASED SYSTEMS, AND THAT YOU HAVE A WORKING KNOWLEDGE OF THE USAGE AND INTRICACIES OF DIGITAL ASSETS.
IN PARTICULAR, YOU UNDERSTAND THAT THE MARKETS FOR THESE DIGITAL ASSETS ARE NASCENT AND HIGHLY VOLATILE. YOU UNDERSTAND THAT ANYONE CAN CREATE A TOKEN, INCLUDING FAKE VERSIONS OF EXISTING TOKENS, AND YOU ACCEPT THE RISK THAT YOU MAY MISTAKENLY TRADE THOSE OR OTHER TOKENS. STABLECOINS MAY NOT BE AS STABLE AS THEY PURPORT TO BE AND MAY BE SUBJECT TO PANICS AND RUNS.
SMART CONTRACT TRANSACTIONS AUTOMATICALLY EXECUTE AND SETTLE, AND BLOCKCHAIN-BASED TRANSACTIONS ARE IRREVERSIBLE WHEN CONFIRMED. THE COST AND SPEED OF TRANSACTING WITH BLOCKCHAIN-BASED SYSTEMS ARE VARIABLE AND MAY INCREASE DRAMATICALLY AT ANY TIME.
7.2 No Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND—EXPRESS, IMPLIED, OR STATUTORY (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT). WE DO NOT GUARANTEE UNINTERRUPTED ACCESS, ERROR-FREE OPERATION, OR THAT ALL CONTENT IS ACCURATE OR UP TO DATE.
WE DO NOT REPRESENT OR WARRANT THAT ACCESS TO ANY OF OUR SERVICES WILL BE CONTINUOUS, UNINTERRUPTED, TIMELY, OR SECURE; THAT THE INFORMATION CONTAINED IN ANY OF OUR SERVICES WILL BE ACCURATE, RELIABLE, COMPLETE, OR CURRENT; OR THAT ANY OF OUR SERVICES WILL BE FREE FROM ERRORS, DEFECTS, VIRUSES, OR OTHER HARMFUL ELEMENTS.
7.3 No Investment Advice
WE MAY PROVIDE INFORMATION ABOUT TOKENS IN OUR SERVICES SOURCED FROM THIRD-PARTY DATA PARTNERS. ALL SUCH INFORMATION IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSTRUED AS INVESTMENT ADVICE OR A RECOMMENDATION. YOU SHOULD NOT TAKE, OR REFRAIN FROM TAKING, ANY ACTION BASED ON ANY INFORMATION CONTAINED IN ANY OF OUR SERVICES. YOU ALONE ARE RESPONSIBLE FOR DETERMINING WHETHER ANY INVESTMENT IS APPROPRIATE FOR YOU BASED ON YOUR PERSONAL INVESTMENT OBJECTIVES, FINANCIAL CIRCUMSTANCES, AND RISK TOLERANCE.
7.4 Third-Party Token Materials & Metadata (logos, names, symbols)
(a) Source & automation. Token names, symbols, logos, images, warnings, tags, links, prices, APRs and other token metadata shown in the Services (collectively, “Token Materials”) may be automatically retrieved from third-party sources (including public blockchains, token registries, token lists, IPFS/other distributed storage, or third-party APIs/CDNs). Such Token Materials are uploaded, hosted, or controlled by third parties, not by Tradersdex. Displaying Token Materials does not constitute our endorsement, verification, or sponsorship, and we do not guarantee their accuracy, completeness, legality, non-infringement, or fitness for any purpose.
(b) No editorial control; caching. We do not pre-screen, curate, or moderate Token Materials and may transiently cache them to operate the Services. Caching does not create ownership or control over such materials.
(c) No best-price/accuracy promise. Quotes, prices, APRs, safety labels, risk badges, and similar informational overlays are estimates or third-party data and may be delayed, inaccurate, or incomplete. We do not guarantee best pricing or best execution.
(d) Your responsibilities. You are solely responsible for verifying any Token Materials before transacting. You should treat warning labels as informational only and not as recommendations.
(e) IP complaints (notice-and-hide). If you are an IP owner and believe Token Materials shown via the Services infringe your rights (e.g., a trademarked logo used without authorization), please email ip@tradersdex.com with: (i) your physical/electronic signature, (ii) identification of the work(s) claimed infringed, (iii) a URL or transaction hash/contract address precisely identifying the material, (iv) your contact info, (v) a good-faith statement that the use is not authorized, and (vi) a statement under penalty of perjury that the notice is accurate and you are authorized to act. Where reasonably feasible, we may de-list, blur, or replace the display of the complained-of Token Materials in our interface. This does not affect the underlying blockchain or any third-party hosts. We may accept a counter-notice with comparable statutory statements; repeat infringers may lose interface access.
(f) Right to filter/hide. We may, at our discretion, filter, blocklist, substitute, or remove Token Materials (including logos) in the Services—for example where we suspect infringement, fraud, malware, or regulatory risk—without obligation to display any particular logo or image.
8. Limitation of Liability
UNDER NO CIRCUMSTANCES SHALL WE OR ANY AFFILIATED PARTIES BE LIABLE TO YOU FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE PROPERTY, ARISING OUT OF OR RELATING TO ANY ACCESS OR USE OF OR INABILITY TO ACCESS OR USE ANY OF THE SERVICES, WHETHER SUCH DAMAGES ARE BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY: (A) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (B) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM ANY ACCESS OR USE OF THE SERVICES; (C) UNAUTHORIZED ACCESS OR USE OF ANY SECURE SERVER OR DATABASE IN OUR CONTROL; (D) INTERRUPTION OR CESSATION OF FUNCTION RELATED TO ANY OF THE SERVICES; (E) BUGS, VIRUSES, OR OTHER HARMFUL CODE; (F) ERRORS OR OMISSIONS IN, OR LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF, ANY CONTENT MADE AVAILABLE THROUGH THE SERVICES; AND (G) THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100.00 USD), WHICHEVER IS GREATER.
THE FOREGOING DISCLAIMER WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
9. Indemnification
You agree to defend, indemnify, and hold harmless Tradersdex and its affiliates (and their officers, directors, employees, and agents) from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
Your breach of these Terms or any applicable law
Your violation of any rights of a third party
Your negligent or willful misconduct in connection with the Services
Any content you post, upload, or create via the Platform
Any other party's access and use of any of our Services with your assistance or using any device or account that you own or control
10. Governing Law and Dispute Resolution
10.1 Governing Law
You agree that the laws of the Republic of Panama, without regard to principles of conflict of laws, govern this Agreement and any dispute between you and us. You further agree that each of our Services shall be deemed to be based solely in Panama, and that although a Service may be available in other jurisdictions, its availability does not give rise to general or specific personal jurisdiction in any forum outside Panama.
10.2 Dispute Resolution
We will use our best efforts to resolve any potential disputes through informal, good faith negotiations. If a potential dispute arises, you must contact us by sending an email to business@tradersdex.com so that we can attempt to resolve it without resorting to formal dispute resolution. If we aren't able to reach an informal resolution within sixty days of your email, then disputes shall be resolved through binding arbitration.
Any claim or controversy arising out of or relating to any of our Services, this Agreement, or any other acts or omissions for which you may contend that we are liable ("Dispute"), shall be finally and exclusively settled by arbitration. The arbitration shall be held on a confidential basis before a single arbitrator under the rules of the Panama Chamber of Commerce or another mutually agreed arbitration body. The arbitration will be held in Panama City, Panama, unless you and we both agree to hold it elsewhere.
10.3 Class Action and Jury Trial Waiver
You must bring any and all Disputes against us in your individual capacity and not as a plaintiff in or member of any purported class action, collective action, or other representative proceeding. You and we both agree to waive the right to demand a trial by jury.
11. Termination
11.1 Our Rights
We may suspend or terminate your access to the Services at any time and for any reason—including, without limitation, for breach of these Terms or legal/regulatory directives—by giving you notice where feasible.
11.2 Your Rights
You may terminate your account by ceasing to use the Services and notifying us at business@tradersdex.com. Your obligations under these Terms survive termination.
11.3 Effects of Termination
Upon termination, all licenses and rights granted to you under these Terms immediately cease. You must stop using the Services, and any outstanding fees or obligations remain payable.
12. Modifications
12.1 Modifications of this Agreement
We reserve the right to modify this Agreement from time to time. If we make any material modifications, we will notify you by updating the date at the top of the Agreement and by maintaining a current version at https://tradersdex.com/terms. All modifications will be effective when they are posted, and your continued use of any of the Services will serve as confirmation of your acceptance of those modifications.
12.2 Additional Rights
We reserve the right to cooperate with any law enforcement, court or government investigation or order or third party requesting or directing that we disclose information or content that you provide.
13. Miscellaneous
13.1 Entire Agreement
These Terms constitute the entire agreement between you and Tradersdex regarding the Services, superseding all prior agreements or understandings.
13.2 Assignment
You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights or obligations at any time to affiliates or in connection with a merger, acquisition, or sale of assets.
13.3 Severability
If any provision of this Agreement shall be determined to be invalid or unenforceable under any rule, law, or regulation, such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any applicable law and the validity or enforceability of any other provision shall not be affected.
13.4 Notices
To You: We may deliver notices via email, Platform notifications, or by posting on the Site. Notice is deemed received when sent (unless undeliverable).
To Us: You may send notices to business@tradersdex.com. All communications must be in English.
13.5 No Waiver
Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
13.6 Force Majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control.
13.7 Third-Party Beneficiaries
Except for our affiliates, no third party has any right to enforce any term of these Terms.
13.8 Rewards and Incentives
In connection with your use of our Services, we may provide certain incentives, prizes or rewards for completing certain activities ("User Rewards"). Details regarding the criteria for earning rewards will be described within the applicable Service or official documentation. We reserve the right to change, modify, discontinue or cancel any rewards programs at any time and without notice.
13.9 Registration Information
Tradersdex Inc. is incorporated under the laws of the Republic of Panama with Folio Number 155772252, registered on August 28, 2025.
