These Terms & Conditions are a legally binding agreement between you and Tradersdex and its affiliates (collectively, “Tradersdex,” “we,” “us,” or “our”).

They govern your access to and use of www.Tradersdex.com (the “Site”) and the Tradersdex Platform (the “Platform”) (collectively, the “Services”). By accessing or using any part of the Services, you agree to comply with and be bound by these Terms (including any documents incorporated by reference). If you do not agree to these Terms, please do not use the Services. 1. Acceptance & Risk Warning

1.1 Binding Agreement. By accessing the Site or Platform, or by using any Services, you confirm that you have read, understood, and accepted these Terms. If you do not accept them in full, do not use the Services.

1.2 Risk Warning. Digital assets are volatile, and you may incur losses when buying, selling, or holding them. You are responsible for assessing whether trading or holding digital assets is suitable given your personal circumstances, risk tolerance, and financial resources. We are not your financial advisor or broker, and we provide no investment or advisory services. All decisions you make are at your own risk.

2. Eligibility

2.1 To use the Services, you must:

  • Be at least 18 years old (or legal age in your jurisdiction).

  • Have full power and authority to enter into and perform under these Terms.

  • If acting on behalf of a legal entity, be duly authorized to bind that entity.

  • Not be located in, incorporated in, or a resident of any jurisdiction where using the Services would violate local law or require registration.

2.2 We may update eligibility criteria at our discretion. Where possible, we will notify you in advance; but in cases of legal or regulatory changes or for urgent security reasons, we may update these Terms immediately and post the revised Terms on the Site.

3. Account Registration & Security

3.1 Registration. To access certain features, you must register and complete identity verification (KYC/AML). Provide accurate, up-to-date information. You are responsible for all activity under your account.

3.2 Wallet Connection. The Platform requires you to connect a compatible crypto wallet (e.g., MetaMask or Phantom) to execute on-chain transactions. You alone control your wallet’s private keys. We do not store or manage your private keys and cannot help you recover them if lost.

3.3 Security Responsibilities. • Keep usernames, passwords, 2FA, and wallet credentials confidential. • Notify us immediately at business@tradersdex.com if you suspect unauthorized access. • Monitor your transaction history and report suspicious activity without delay.

3.4 Suspension & Termination. We reserve the right to suspend or terminate your account (and/or block your wallet) at any time for reasons including (but not limited to):

  • Violation of these Terms or any applicable law.

  • Suspected fraudulent activity or market manipulation.

  • Incomplete or false information during KYC/AML.

  • Regulatory or law enforcement requirement.

4. Platform Usage & Prohibited Conduct

4.1 Platform Discretion. We may modify, restrict, or discontinue any part of the Platform at any time, with or without notice.

4.2 Prohibited Conduct. You agree NOT to:

  • Post or transmit abusive, defamatory, obscene, or illegal content.

  • Manipulate market prices (e.g., “pump and dump” schemes or wash trading).

  • Use bots, scrapers, or any automated means to access or monitor the Platform (unless expressly permitted).

  • Attempt unauthorized access to our systems, or disrupt Platform operations (e.g., DDoS attacks).

  • Reverse-engineer, decompile, or disassemble any portion of the Platform.

  • Violate any applicable law, including anti-money laundering and counter-terrorist financing regulations.

  • Use a proxy or VPN to mask your location if you are in a Prohibited Jurisdiction.

  • Share your account credentials or allow others to access the Platform using your account.

Violation of any of the above may result in immediate suspension or termination and forfeit of any associated balances.

5. Fees, Payments & Calculations

5.1 Fees. All applicable fees (trading fees, withdrawal fees, network/gas fees) are displayed transparently during each transaction. We reserve the right to update fees (or introduce new ones) by posting changes on the Site. Continued use of the Platform after fee changes constitutes acceptance.

5.2 Payment Authorization. By using the Platform, you authorize us to deduct applicable fees, commissions, or charges from your connected wallet or balance.

5.3 Final Calculations. All calculations performed by Tradersdex (e.g., conversion rates, fee computations) are final and binding in the absence of a manifest error.

6. Transactions & Cancellations

6.1 On-Chain Transactions. Transactions you initiate (swaps, liquidity provision, staking) are executed via smart contracts on public blockchains. Once confirmed on-chain, a transaction cannot be undone, except by initiating a separate on-chain reversal (if supported) or by the other party’s cooperation.

6.2 Insufficient Funds. If your wallet lacks the necessary tokens (including gas), we may refuse to execute your transaction.

6.3 Market Manipulation. We monitor for improper intent (e.g., exploiting mispriced trades or leveraging momentary discrepancies). In cases of manifest error or suspected manipulation, we reserve the right to cancel or void a transaction to the fullest extent possible under applicable law.

6.4 Network Events & Force Majeure. • Network Event: Any third-party blockchain fork, reorganization, or 51% attack that affects transaction finality. Tradersdex is not responsible for losses resulting from Network Events. • Force Majeure: Events beyond our control (natural disasters, cyberattacks, regulatory orders) that prevent us from operating the Services. We will notify you as soon as practicable if a Force Majeure Event occurs.

7. Intellectual Property

7.1 Tradersdex IP. All intellectual property rights in and to the Platform, Site, logo, graphics, code, user interface, and all other elements of Tradersdex (collectively, “Tradersdex IP”) remain owned by Tradersdex or its licensors. You are granted a limited, revocable, non-exclusive license to use Tradersdex IP solely as needed to access and use the Platform in compliance with these Terms.

7.2 User Content & IP. • When you upload or post any content (e.g., comments, user profiles), you grant us a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display that content in connection with operating the Platform. • For any digital assets or NFTs you mint via the Platform, you represent that you own or have lawful permission to use any underlying intellectual property (e.g., images, trademarks).

8. Privacy & Data Processing

Our collection and use of your Personal Data are governed by our Privacy Policy. By using the Services, you consent to the processing described therein.

9. Disclaimers & Liability Limitations

9.1 No Financial or Investment Advice. We do not offer financial, investment, tax, or legal advice. All information on the Platform is for informational or educational purposes only. You alone are responsible for your investment decisions and any associated gains or losses.

9.2 As-Is / As-Available. The Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind—express, implied, or statutory (including merchantability, fitness for a particular purpose, or non-infringement). We do not guarantee uninterrupted access, error-free operation, or that all content is accurate or up to date.

9.3 Limitation of Liability. To the maximum extent permitted by law, Tradersdex and its affiliates (and their officers, directors, employees, and agents) shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages (including lost profits, loss of data, or business interruption) arising from or related to:

  • Your use (or inability to use) the Site, Platform, or any services.

  • Any errors, bugs, or delays in operation or transmission.

  • Unauthorized access to or alteration of your data or wallet.

  • Third-party actions (e.g., hacks, scams, or outages on public blockchains).

  • Any regulatory changes, Network Events, or Force Majeure Events.

Our aggregate liability (and that of our affiliates) for any claim arising from or related to these Terms shall not exceed the total fees you paid to us in the six (6) months preceding the claim.

9.4 Third-Party Links & Integrations. We may provide links to third-party websites, smart contracts, or dApps. We do not control, endorse, or assume responsibility for any third-party content, privacy practices, or terms. Use third-party services at your own risk.

10. Indemnification

You agree to defend, indemnify, and hold harmless Tradersdex and its affiliates (and their officers, directors, employees, and agents) from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your breach of these Terms or any applicable law.

  • Your violation of any rights of a third party (e.g., intellectual property, privacy).

  • Your negligent or willful misconduct in connection with the Services.

  • Any content you post, upload, or mint via the Platform (including NFTs).

11. Termination & Suspension

11.1 Our Rights. We may suspend or terminate your access to the Services (or any part thereof) at any time and for any reason—including, without limitation, for breach of these Terms or legal/regulatory directives—by giving you notice (where feasible).

11.2 Your Rights. You may terminate your account by ceasing to use the Services and notifying us at business@tradersdex.com. Your obligations under these Terms (e.g., indemnification, limiting liability) survive termination.

11.3 Effects of Termination. Upon termination, all licenses and rights granted to you under these Terms immediately cease. You must stop using the Platform, and any outstanding fees or obligations remain payable.

12. Miscellaneous

12.1 Entire Agreement. These Terms (including the Privacy Policy) constitute the entire agreement between you and Tradersdex regarding the Services, superseding all prior agreements or understandings.

12.2 Amendments. We may update these Terms at any time by posting a revised version on the Site. The “Last Revised” date at the top will be updated accordingly. Your continued use of the Services after notice indicates acceptance of the revised Terms. If you disagree with any changes, you must stop using the Services.

12.3 Severability. If any provision (or part thereof) of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

12.4 Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights or obligations at any time to affiliates or in connection with a merger, acquisition, or sale of assets.

12.5 Notices. • To You: We may deliver notices via email, Platform notifications, or by posting on the Site. Notice is deemed received when sent (unless undeliverable). • To Us: You may send notices to business@tradersdex.com. All communications must be in English.

12.6 Force Majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control (e.g., floods, cyberattacks, regulatory orders, or outages on underlying blockchain networks).

12.7 No Waiver. Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

12.8 Third-Party Beneficiaries. Except for our affiliates, no third party has any right to enforce any term of these Terms.

12.9 Taxes. You are responsible for determining and reporting any taxes applicable to transactions you make on the Platform. We are not responsible for collecting, reporting, or remitting any taxes on your behalf.
